Terms of Service

1. Parties

These Terms of Service ("Terms") govern access to and use of the UtilityBillParse service ("Service") operated by Proziod Analytics Pvt Ltd ("Proziod", "we", "us"). By creating an account, accessing or using the Service, you ("Customer", "you") agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

UtilityBillParse parses electricity, gas and water bills into structured data via a web app and API. Features, plans and limits are described on our pricing and product pages and may evolve over time.

3. Accounts

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity on your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

• Use the Service in violation of any law or third-party rights.
• Upload content you do not have the right to process.
• Probe, scan or test the vulnerability of the Service, or attempt to bypass security or rate limits.
• Use the Service to send spam, malware or fraudulent content.
• Reverse engineer, resell or redistribute the Service except as expressly permitted.

5. Customer content

You retain ownership of the bills and other content you submit. You grant us a limited license to host, process and transmit that content solely to provide and improve the Service.

6. Intellectual property

The Service, including its software, templates, models, documentation and branding, is owned by Proziod and its licensors and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

7. Fees, billing and Merchant of Record

Paid plans and credit packs are sold and billed through our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing frequency, taxes, cancellations and refunds are governed by Paddle's Buyer Terms, together with our Refund Policy.

8. Subscriptions and cancellation

Subscriptions renew automatically for the plan term you selected unless cancelled before the renewal date. You can cancel at any time from your billing dashboard or via paddle.net. Cancellation takes effect at the end of the current billing period.

9. Service availability

We work hard to keep the Service reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, change features or deprecate functionality with reasonable notice where practicable.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, create security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time. On termination, your right to use the Service ends and we may delete your content after a reasonable period.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Parsed outputs may contain errors and should be reviewed before being used for regulated, financial or legal purposes.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our aggregate liability arising out of or related to the Service will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnity

You will defend and indemnify Proziod against third-party claims arising from your content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict of law rules. Disputes will be subject to the exclusive jurisdiction of the competent courts in India, except where mandatory local law provides otherwise.

15. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.
